All terms refer to the offer, acceptance, and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing law of India.

2. Services Description

MDR WebS provides web development, app development, digital marketing, SEO, and related IT services as detailed on our website. The specific services to be provided to each Client will be outlined in a separate Statement of Work (SOW) or Service Agreement.

• We reserve the right to modify or discontinue any service with or without notice.
• Delivery timelines are estimates and subject to prompt feedback and asset delivery by the Client.

3. User Responsibilities

By using our services, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your account and password.
• Promptly update any information you have provided to us.
• Not use our services for any illegal or unauthorized purpose.
• Not violate any laws in your jurisdiction (including but not limited to copyright laws).

4. Payment Terms

Fees for our services will be set forth in the applicable proposal, SOW, or invoice. Unless otherwise specified:

• A deposit is required before work commences on any project.
• All invoices are payable within 15 days of receipt.
• Late payments may result in suspension of services and a late fee of 1.5% per month.
• All fees are non-refundable unless explicitly stated otherwise in a specific agreement.

5. Intellectual Property Rights

Unless otherwise stated, MDR WebS and/or its licensors own the intellectual property rights for all material on MDR WebS. All intellectual property rights are reserved. You may access this from MDR WebS for your own personal use subjected to restrictions set in these terms and conditions.

You must not:

• Republish material from MDR WebS
• Sell, rent, or sub-license material from MDR WebS
• Reproduce, duplicate or copy material from MDR WebS
• Redistribute content from MDR WebS

Upon full payment for custom services, the intellectual property of the final deliverables will be transferred to the Client, while MDR WebS retains the right to display the work in our portfolio.

6. Limitation of Liability

In no event shall MDR WebS, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this Website or our services. MDR WebS, including its officers, directors and employees shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of this Website or services.

7. Indemnification

You hereby indemnify to the fullest extent MDR WebS from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms.

These Terms will be governed by and interpreted in accordance with the laws of the State of West Bengal, India. You submit to the non-exclusive jurisdiction of the state and federal courts located in India for the resolution of any disputes.
